Osman Kosmalski – Chairman of the Supervisory Board

Mr. Osman Kosmalski is a graduate of the University of Wrocław, Faculty of Law and Administration in the field of law. At the Court of Appeal in Wrocław, he successfully completed judicial application and at the District Chamber of Legal Advisors in Wałbrzych, he completed his legal advisor training, obtaining the title of legal advisor.

Professional career:

1995 – 1996 Deputy Director of the Legal Department – Europejski Fundusz Leasingowy sp. z o.o.

1996 – to date Director of the Legal Department – Koelner SA (currently Rawlplug S.A.).

Mr. Osman Kosmalski has knowledge and skills in accounting or auditing financial statements, as well as knowledge of the industry in which the Company operates.

 


Tomasz Mogilski – Deputy Chairman of the Supervisory Board

Mr. Tomasz Mogilski is a graduate of the Faculty of Law at the University of Wrocław. From the beginning of his professional career, Mr. Tomasz Mogilski has been associated with Koelner. From 1995, he worked as Commercial Director. From 1999 to 2010, he was the Vice President of the Management Board of Koelner S.A. (currently Rawlplug S.A.). He is entered on the list of attorneys.

Mr. Tomasz Mogilski has knowledge and skills in accounting or auditing financial statements, as well as knowledge of the industry in which the Company operates.

 


Zbigniew Stabiszewski – Member of the Supervisory Board

A graduate of the Jagiellonian University and the University of Economics in Wrocław. In addition, Mr. Zbigniew Stabiszewski completed, among others, postgraduate studies at the University of Economics in Wrocław, the TORTEK School of Organization and Management. A frequent participant of training programs in banking and management at the Kellogg School of Management at the Northwestern University of Chicago. He is a member of supervisory boards of State Treasury companies.

Since 1986, he has been associated with the banking sector:

– until 1989 at the National Bank of Poland, including head of department in the provincial branch of the National Bank of Poland,

– until 1992 Department Director, Managing Director at the Head Office of Bank Zachodni S.A. in Wrocław,

– 1992 – 1999 Member of the Management Board of Bank Zachodni S.A.,

– until 2000 Managing Director at Bank Zachodni WBK S.A. in Wrocław,

– 2000 – 2002 Managing Director at the Head Office of BRE Bank S.A. in Warsaw,

– 2002 – 2005 President of the Management Board of “CERI” – a company within the BRE Bank S.A. Group

From 2006 to the present, he has been involved in the business consulting sector, mainly for companies and local government units.

Zbigniew Stabiszewski has extensive experience in working on supervisory boards of entities related to the sectors of industrial production, telecommunications, investment fund management and trading in financial instruments. In the previous term of office, he was a member of the Audit Committee of the Supervisory Board of Rawlplug S.A.

Mr. Zbigniew Stabiszewski has knowledge and skills in accounting or auditing financial statements, as well as knowledge of the industry in which the Company operates.

Professional experience: Mr. Janusz Pajka has extensive experience in managing and coordinating the work of the bank as well as in organizing and managing the work of the treasury department in banks. He also has experience in negotiating with counterparties (debt securities issue agreements), in designing and servicing financial instruments (interbank settlements, sale of receivables, securitization). He also participated in managing work in the field of analyses related to interest rate risk and liquidity risk. He was also directly involved in the organization of the sale of a majority stake in EUROBANK S.A.

Mr. Janusz Pajka has knowledge and skills in accounting or auditing financial statements, as well as knowledge of the industry in which the Company operates.

Mr. Janusz Pajka has the status of an independent member.

 


Włodzimierz Frankowicz – Member of the Supervisory Board

Since 2016, Mr. Włodzimierz Frankowicz has been retired.

Anna Piotrowska – Kus – Member of the Supervisory Board

A graduate of the Faculty of Management and Computer Science at the University of Economics (now the University of Economics) in Wrocław, where she also completed postgraduate studies in “Financial Investments and Financial Management”.

Professional career:

In the years 1998 – 2004 at Whirlpool sp. z o.o. (formerly Polar S.A.), she was initially responsible for the area of investor relations, stock exchange reporting and financial analysis, and then for the implementation and development of the ERP system in the field of accounting (according to PAS and US GAAP) and controlling.

From 2004 to 2021, she was associated with Rawlplug S.A. (formerly Koelner S.A.) and its affiliated companies, where she held the positions of Financial Controller, Chief Accountant and Director of Accounting and Financial Reporting.

From 2007 to 2009, she also held the position of Member of the Management Board for Finance at Śrubex S.A. During her work at Rawlplug S.A., m.in. participated in numerous restructuring processes, was responsible for tax management, tax and financial reporting (standalone and consolidated), current and periodic reporting on the Warsaw Stock Exchange, implementation of IAS/IFRS in the companies in the capital group, reorganization of reporting and accounting processes,  including the implementation of the SAP system.

Ms. Anna Piotrowska-Kus has completed many courses and trainings in the field of finance, accounting, taxes, law and management, including courses for candidates for chief accountants.

Ms. Anna Piotrowska-Kus has knowledge and skills in the field of accounting or auditing financial statements, as well as knowledge of the industry in which the Company operates.

 


Małgorzata Kloka – Member of the Supervisory Board

Ms. Małgorzata Kloka is a manager with experience in the area of capital markets, financing, treasury, financial analysis and investor relations. Since 2018, she has been associated with the Benefit Systems Capital Group, where currently, as the Financial Director, she is responsible for the treasury, financing and investor relations area. In her previous professional role, she was an equity market analyst at UniCredit/Pekao Investment Banking. She has dealt with companies from the consumer and real estate sectors; as an analyst, she participated in the IPO of MLP Group and X-Trade Brokers. He holds an MSc in Finance from Imperial College London and a CFA degree. She is also a member of the steering committee of 30% Club Poland.

Ms. Małgorzata Kloka has the status of an independent member.
